PayAll provides a comprehensive payment platform that includes:

• Payment processing and transaction services
• Merchant tools and business analytics
• API access for third-party integrations
• Customer support and technical assistance

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with or without notice.

Account Creation

To use our services, you must create an account and provide accurate, complete information. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use
• Ensuring your information remains current and accurate

Eligibility

You must be at least 18 years old and have the legal capacity to enter into this agreement. Business accounts require proper authorization from the business entity.

You agree not to use the Service for any unlawful purpose or in any way that could damage our services or reputation. Prohibited activities include:

• Fraudulent transactions or money laundering
• Unauthorized access to systems or accounts
• Distribution of malware or harmful code
• Violation of applicable laws or regulations
• Impersonation of another person or entity
• Interference with the Service's operation
• Sale of prohibited goods or services

Transaction Fees

Our fee structure is transparent and competitive:

• Standard transaction fees: 2.9% + $0.30 per transaction
• Volume discounts available for high-volume merchants
• Monthly subscription fees for enterprise features
• Hardware rental fees for IoT devices
• Additional fees for premium services and integrations

Payment Processing

Transactions are processed in real-time with settlement typically occurring within 1-2 business days. We reserve the right to hold funds for risk management purposes.

PayAll retains all rights, title, and interest in the Service, including:

• Software, applications, and technology platforms
• Trademarks, logos, and brand elements
• Proprietary algorithms and business processes
• Documentation, training materials, and content
• APIs, SDKs, and developer tools

You are granted a limited, non-exclusive license to use the Service in accordance with these Terms.

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

By using our services, you consent to:

• Collection and processing of transaction data
• Use of cookies and tracking technologies
• International data transfers as necessary
• Sharing information with service providers

To the maximum extent permitted by law, PayAll shall not be liable for:

• Indirect, incidental, or consequential damages
• Loss of profits, data, or business opportunities
• Service interruptions or technical failures
• Third-party actions or security breaches
• Regulatory changes or compliance issues

Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim.

You agree to indemnify and hold PayAll harmless from any claims, damages, or expenses arising from:

• Your use of the Service
• Violation of these Terms
• Infringement of third-party rights
• Your business operations and transactions
• Breach of applicable laws or regulations

Either party may terminate this agreement at any time:

• With 30 days' written notice for convenience
• Immediately for material breach of Terms
• Upon insolvency or bankruptcy proceedings
• For violation of acceptable use policies

Upon termination, your access to the Service will cease, and we will process any pending transactions according to our standard procedures.

These Terms are governed by the laws of Australia. Any disputes will be resolved through:

• Good faith negotiations between the parties
• Mediation through a mutually agreed mediator
• Binding arbitration if mediation fails
• Australian courts for injunctive relief

We reserve the right to modify these Terms at any time. Changes will be effective upon:

• Email notification to registered users
• Posting updated Terms on our website
• In-app notifications for material changes
• 30 days after notification for significant changes

Continued use of the Service after changes constitutes acceptance of the new Terms.
